Terms of Service

1. Introduction

Welcome to Little Helpers. These Terms of Service ("Terms") govern your access to and use of the services provided by Little Helpers LLC ("Company," "we," "us," or "our"), including our Droid and Little Helpers products, websites, APIs, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use our Services.

2. Definitions

  • "Account" means your registered account with Little Helpers.
  • "API Key" means authentication credentials for accessing third-party AI services.
  • "BYOK" means "Bring Your Own Key" — using your own API credentials for AI services.
  • "Content" means any data, text, code, files, or other materials you upload, submit, or generate through the Services.
  • "Droid" means our managed Claude Code development environment product.
  • "Agent" means an individual AI-powered agent instance provisioned through our Services (also referred to as a "sprite").
  • "Little Helpers" (product) means our AI assistant product that executes tasks and workflows on your behalf.
  • "Services" means all products, software, APIs, and services provided by Little Helpers.
  • "Subscription" means your paid plan for accessing the Services.
  • "Third-Party Services" means services provided by third parties that integrate with or are accessed through our Services.
  • "User," "you," or "your" means the individual or entity accessing or using the Services.

3. Account Terms

3.1 Account Registration

To use the Services, you must create an Account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your Account information
  • Keep your API keys secure and confidential
  • Accept responsibility for all activities under your Account
  • Notify us immediately of any unauthorized access or security breach

3.2 Account Requirements

You must be at least 18 years old (or the age of majority in your jurisdiction) to create an Account.

3.3 One Account Per Person

Each individual may maintain only one Account. Organizations may have multiple authorized users under a Team subscription.

4. Services Description

4.1 Droid

Droid provides a managed Claude Code development environment accessible via SSH and web terminal. Droid operates on a BYOK model — you must provide your own Anthropic API key.

Droid includes:

  • Dedicated virtual machine infrastructure
  • Persistent storage and session continuity
  • Curated MCP (Model Context Protocol) server integrations
  • SSH and web terminal access
  • Self-improvement and memory capabilities

4.2 Little Helpers

Little Helpers provides autonomous AI agents that execute tasks and workflows on your behalf. Little Helpers uses metered API usage — AI costs are included in your subscription tier.

Little Helpers includes:

  • Dedicated agent infrastructure
  • Scheduled task execution
  • Multi-platform messaging integrations (Discord, Telegram, Slack)
  • Persistent sessions and context
  • Connection to third-party services (Google, Microsoft, GitHub, etc.) via OAuth
  • Higher tiers include increased usage allowances and priority support

4.3 Service Tiers

Services are provided according to your selected subscription tier. Feature availability, usage limits, and support levels vary by tier. Current tiers and pricing are published on our website.

4.4 Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

5. Bring Your Own Key (BYOK) Terms

5.1 Your API Keys

When using BYOK features (Droid), you provide your own API credentials for third-party AI services. You are responsible for:

  • Obtaining valid API credentials directly from the third-party provider
  • Complying with the third-party provider's terms of service
  • All costs and fees incurred through your API key usage
  • Keeping your API keys secure and confidential

5.2 Key Storage and Usage

When you provide API keys to the Services:

  • Keys are encrypted at rest using industry-standard encryption
  • Keys are used solely to authenticate requests on your behalf
  • Keys are not shared with other users or third parties
  • Keys are deleted upon Account termination or your request

5.3 BYOK Liability Disclaimer

We are not responsible for: charges incurred through your API key usage, service disruptions caused by invalid or rate-limited API keys, third-party provider policy violations, or changes to third-party pricing, terms, or availability.

6. Metered API Usage (Little Helpers)

6.1 Included Usage

Little Helpers tiers include baseline API usage allowances. Usage is measured in tokens and calculated daily.

6.2 Overage Policy

When you exceed your included allowance, your agent will switch to a lighter-weight model rather than incurring surprise charges. You will not be billed for overages without your explicit consent.

6.3 Spending Limits

You may set spending limits on your Account. When limits are reached, Services may be adjusted until the next billing cycle.

7. Acceptable Use Policy

7.1 Permitted Use

You may use the Services for lawful purposes consistent with these Terms, including software development, research, automation, and business operations tasks.

7.2 Prohibited Use

You agree NOT to use the Services to:

Illegal Activities: Violate any applicable law; engage in fraud or financial crimes; facilitate illegal transactions.

Harmful Content: Generate malware; create content that exploits minors; produce content promoting violence, terrorism, or self-harm; create discriminatory or harassing content.

System Abuse: Attempt unauthorized access to our systems; interfere with the Services; circumvent usage limits or access controls; reverse engineer the Services.

AI-Specific Prohibitions: Impersonate real individuals without consent; create disinformation at scale; automate spam, phishing, or social engineering; circumvent AI safety measures; use for autonomous weapons or surveillance.

Commercial Misuse: Resell or redistribute the Services without authorization; use the Services to build a competing product.

7.3 Enforcement

We may investigate suspected violations and take appropriate action, including warning, suspending, or terminating your Account, removing Content, and reporting illegal activities to law enforcement.

8. Data and Privacy

8.1 Your Content

You retain ownership of Content you provide. By using the Services, you grant us a limited license to store, process, and transmit your Content solely to provide the Services.

8.2 Data Processing

We process data as described in our Privacy Policy, which is incorporated into these Terms by reference.

  • Content Storage: Your Content is stored on dedicated infrastructure isolated from other users
  • Encryption: Data is encrypted in transit (TLS) and at rest
  • Access: Only authorized personnel may access your data for support purposes, and only when necessary

8.3 Data Retention

  • Active Accounts: Content is retained while your Account is active
  • Cancelled Accounts: Content is deleted within 30 days of Account termination
  • Backups: Backup copies may persist for up to 90 days

8.4 AI Training

We do not use your Content to train AI models. Your interactions are not shared with third-party AI providers for training purposes. Third-party providers may have their own data practices — refer to their privacy policies.

9. Billing and Payment

9.1 Subscription Fees

Subscription fees are charged in advance on a monthly or annual basis. Fees are non-refundable except as expressly stated in these Terms.

9.2 Price Changes

We may change pricing with at least 30 days' notice. Price changes take effect at the start of your next billing cycle.

9.3 Taxes

Fees are exclusive of taxes unless stated otherwise. You are responsible for all applicable taxes.

9.4 Failed Payments

If a payment fails, we will attempt to process it again and notify you. After multiple failed attempts, we may suspend or terminate your Account.

10. Cancellation and Termination

10.1 Cancellation by You

You may cancel your Subscription at any time through your Account settings. Cancellation takes effect at the end of your current billing period.

10.2 Termination by Us

We may suspend or terminate your Account immediately if you violate these Terms, your payment method fails and is not resolved, we are required to do so by law, or we cease offering the Services.

10.3 Effect of Termination

Upon termination: your access ends immediately, your agents and Droids will be stopped and deleted, your Content will be deleted within 30 days, and you remain liable for outstanding fees.

10.4 Refunds

Monthly: No refunds for partial months. Annual: If we terminate your Account for reasons other than your breach, you may request a pro-rata refund for unused months.

11. Intellectual Property

11.1 Our Intellectual Property

The Services, including software, designs, and documentation, are owned by or licensed to us. These Terms do not grant you rights to our intellectual property except the limited right to use the Services.

11.2 Your Content

You retain all rights to Content you create or provide. You grant us a non-exclusive, worldwide, royalty-free license to use your Content solely to provide and improve the Services.

11.3 AI-Generated Content

Content generated by agents using your prompts and direction belongs to you, subject to applicable third-party AI provider terms and intellectual property laws.

12. Third-Party Services

12.1 Third-Party Integrations

The Services integrate with:

  • Anthropic (Claude): AI model provider
  • Fly.io: Infrastructure provider
  • Messaging Platforms: Discord, Telegram, Slack
  • Connected Services: Google (Gmail, Calendar, Drive), Microsoft (Outlook, Calendar, OneDrive), GitHub, and others you choose to connect

12.2 Third-Party Terms

Your use of third-party services through Little Helpers is subject to those services' terms and policies. We are not responsible for third-party services.

12.3 Connected Service Access

You may authorize your Little Helpers agent to access third-party services on your behalf (e.g., Gmail, Google Calendar, Google Drive, Microsoft Outlook, GitHub). When you do:

  • Authorization is between you and the service provider. You grant permission directly through their consent screen. We facilitate the connection but do not intermediate the authorization.
  • Tokens are stored on your infrastructure. OAuth tokens are stored encrypted on your dedicated virtual machine. We do not have access to these tokens.
  • Your agent acts on your behalf. When your agent reads email, creates events, or accesses files, it does so using your authorization.
  • You are responsible for your agent's actions. Actions taken through connected services are under your authorization.
  • You can revoke access at any time by instructing your agent, revoking in the service provider's settings, or deleting your account.

12.4 Anthropic Terms Compliance

By using Services that access Anthropic's Claude, you agree to comply with Anthropic's Acceptable Use Policy and Terms of Service.

12.5 Connected Service Terms Compliance

By connecting services such as Google, Microsoft, or GitHub, you agree to comply with those providers' terms of service. You represent that you have authorized access to any service you connect.

13. Disclaimers

13.1 "As Is" Provision

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

13.2 AI Limitations

You acknowledge that AI systems may produce inaccurate or incomplete outputs, AI outputs should be reviewed before use in critical applications, and agents may not always follow instructions correctly.

13.3 No Professional Advice

The Services do not provide legal, financial, medical, or other professional advice. AI outputs are not substitutes for professional judgment.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF: the amount you paid us in the 12 months preceding the claim, or one hundred US dollars ($100).

15. Indemnification

You agree to indemnify and hold harmless the Company from any claims arising from your use of the Services, your Content, your violation of these Terms, or your use of BYOK features or connected services.

16. Dispute Resolution

16.1 Informal Resolution

Before filing any formal dispute, you agree to contact us at legal@mylittlehelpers.ai and attempt to resolve the dispute informally for at least 30 days.

16.2 Arbitration Agreement

Any dispute arising from these Terms or the Services shall be resolved through binding arbitration, except that either party may seek injunctive relief for intellectual property violations. Arbitration shall be conducted under the rules of the American Arbitration Association (AAA) in the State of Missouri.

16.3 Class Action Waiver

YOU AGREE TO RESOLVE DISPUTES ONLY ON AN INDIVIDUAL BASIS AND WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS OR REPRESENTATIVE ACTIONS.

16.4 Small Claims Exception

Either party may bring qualifying claims in small claims court.

16.5 Opt-Out

You may opt out of the arbitration agreement by sending written notice to legal@mylittlehelpers.ai within 30 days of creating your Account.

17. Governing Law

These Terms are governed by the laws of the State of Missouri, United States, without regard to conflict of law principles. Any litigation not subject to arbitration shall be brought exclusively in the state or federal courts located in the State of Missouri.

18. Changes to Terms

We may modify these Terms at any time. Material changes will be announced at least 30 days before taking effect. Continued use of the Services after changes take effect constitutes acceptance.

19. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement.
  • Severability: If any provision is unenforceable, the remaining provisions remain in effect.
  • Waiver: Failure to enforce any provision does not waive our right to enforce it later.
  • Assignment: You may not assign these Terms without our consent. We may assign them in connection with a merger or acquisition.
  • Force Majeure: We are not liable for delays caused by circumstances beyond our control.
  • Export Compliance: You agree to comply with all applicable export control laws.
